These Terms of Service ("Terms") govern your use of onevismarketing.com (the "Site") and the marketing services offered by OneVis ("OneVis", "we", "us"). By using the Site or engaging our services, you agree to these Terms. If you sign a separate service agreement with us, that agreement controls where it conflicts with these Terms.
OneVis provides marketing services for businesses, including social media management, paid advertising, SMS and email marketing, search engine optimisation, web design and development, reputation management, lead generation, and AI automation. The specific services, deliverables, and fees for your business are set out in a written quote or proposal that you approve before work starts.
Our management fees start at $1,000 per month. The exact fee for your business depends on the services and scope you choose and is set out in a written quote that you approve before work starts. Advertising spend, SMS carrier fees, domain and hosting costs, and third-party software are separate and paid by you directly unless the quote says otherwise.
Unless your quote says otherwise, services are provided on a month-to-month basis after an initial 90-day launch period. Either party may cancel with 30 days' written notice. Fees for the notice period remain payable. We may suspend or end services if invoices are unpaid, if you ask us to do something unlawful or against platform rules, or if the relationship is no longer workable.
Our management fees are stated in your quote and are billed monthly in advance unless agreed otherwise. Advertising spend is paid by you directly to the advertising platform and is never marked up by us. Late payments may result in paused work. Fees do not include taxes, which are added where applicable.
You own your business accounts, including ad accounts, social media profiles, domain names, websites, customer lists, and the data in them. If we set any of these up for you, they are set up in your name, and you keep full admin access if we part ways. Content we create for you, such as posts, graphics, videos, ad creative, and web pages, becomes yours once it is paid for. We may keep copies of completed work and show it in our portfolio unless you ask us not to in writing.
Our processes, templates, tools, know-how, and anything we developed before or outside your project remain ours. The Site and its content, including text, design, and code, are owned by OneVis or our licensors and may not be copied or reused without permission. Client logos and names on the Site are used with permission and belong to their owners.
Marketing results depend on many things outside our control, including your market, your offer, platform changes, and your own operations. Figures on the Site describe results for specific clients and are not a promise of what you will get. We will work to agreed goals and report honestly on progress, but we do not guarantee any particular number of leads, bookings, followers, rankings, or revenue.
Our work depends on platforms such as Google, Meta, TikTok, Instagram, and SMS carriers. We are not responsible for their outages, policy changes, account reviews, or suspensions, although we will help you resolve them where we can.
To the fullest extent allowed by law, OneVis is not liable for indirect, incidental, special, or consequential damages, or for lost profits or revenue, arising from the Site or our services. Our total liability for any claim is limited to the fees you paid us in the three months before the claim arose.
You agree to cover us against claims arising from materials or lists you provide, from your products or services, or from your breach of these Terms or the law.
You may use the Site for lawful purposes only. Do not attempt to interfere with it, scrape it, or use it to send spam. We may change or discontinue any part of the Site at any time.
These Terms are governed by the laws of the State of California. Any dispute will be handled in the state or federal courts located in Los Angeles County, California, and both sides consent to that jurisdiction.
We may update these Terms from time to time. The date at the top shows when they were last changed. Continued use of the Site or our services after a change means you accept the updated Terms.
